Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Inferrex platform, including Inferrex Cloud, Enterprise, Sovereign, and Air-Gapped products, the API, SDK, MCP server, and all related services (collectively, the "Service") provided by Inferrex Ltd ("Inferrex," "we," "us," or "our"), a company registered in England and Wales.
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Definitions
"Account" — the account you create to access the Service.
"Workspace" — the top-level organisational unit associated with your billing account.
"Connection" — a single API integration configured within the Service.
"Customer Data" — all data you or your authorised users upload, transmit, or process through the Service.
"Manifest" — the structured description of an API produced by the inference pipeline.
"Pipeline" — a configured data flow between two or more Connections.
"Subscription" — your selected capacity tier and billing frequency.
3. Account Registration
You must provide accurate and complete information. You are responsible for maintaining the confidentiality of credentials and for all activities under your Account. Notify us immediately of unauthorised use.
4. Use of the Service
4.1 Licence Grant. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription term.
4.2 Acceptable Use. You agree not to: (a) violate any applicable law; (b) process data you do not have the right to process; (c) attempt unauthorised access; (d) reverse engineer any part of the Service; (e) use the Service to build a competing product; (f) exceed capacity entitlements without purchasing additional capacity or enabling overage; (g) share credentials with unauthorised third parties.
4.3 API Credentials. You are solely responsible for credentials you provide. Inferrex encrypts all credentials at rest with per-customer keys and does not access connected systems except as necessary to perform configured services.
5. Subscriptions and Payment
5.1 Capacity Tiers. The Service is offered in capacity tiers. All features are included in every tier; capacity determines the price.
5.2 Billing Frequency. Subscriptions are billed monthly, quarterly (5% discount), or annually (10% discount) in advance, as selected. Packs, bundles, and capability upgrades are billed monthly.
5.3 Overage. Where overage billing is enabled, usage beyond tier and pack entitlements is billed weekly in arrears at the published overage rates. Overage is capped at 3× the tier's included entitlement per dimension per month.
5.4 Currency. Prices are available in GBP, EUR, and USD. Currency is set at workspace creation and cannot change after the first invoice.
5.5 VAT. All prices exclude VAT, which will be added where applicable. UK customers are charged 20% VAT. EU B2B customers with a valid VAT number are reverse-charged.
5.6 Cancellation. Self-serve subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods. Enterprise and Sovereign contracts are subject to the applicable order form.
5.7 Price Changes. We may change prices with at least 30 days' written notice. Changes apply at the next billing cycle. Active quarterly and annual commitments are not affected until renewal.
6. Customer Data
6.1 Ownership. You retain all rights to your Customer Data. Inferrex does not claim ownership.
6.2 Processing. We process Customer Data solely to provide the Service and as described in our Privacy Policy and Data Processing Agreement.
6.3 Data Residency. Customer Data is stored in the EU (Azure West Europe) by default. UK-specific residency available. Sovereign deployments are entirely under customer control.
6.4 Deletion. Upon termination, Customer Data is deleted within 30 days unless longer retention is required by law. Deletion certificates available on request.
7. AI and Learning
7.1 Training Data. Inferrex's models are trained on its corpus of provider API specifications and schemas — not on Customer Data. Your records are never part of model training.
7.2 Learning Consent. You control whether your structural corrections (for example, confirming a field's classification) contribute to model improvement, through four modes: Full, Anonymised (default), Private, None. Configurable per workspace and revocable at any time.
7.3 No Content Training. Inferrex never uses the content of synced records for training or learning. Any optional learning uses structural corrections only — never the values in your data.
7.4 Customer-Specific Adapters. Enterprise customers may opt in to private adapter training. Adapters remain in your infrastructure and are never accessible to other customers.
8. Security
8.1 Encryption. AES-256 at rest, TLS 1.3 in transit. Per-customer encryption keys, never shared.
8.2 Access Controls. Role-based access controls, audit logging, workspace isolation, team-based resource scoping.
8.3 Incident Notification. Security incidents affecting Customer Data will be notified without undue delay and within 72 hours, per the Data Processing Agreement.
9. Service Levels
9.1 Cloud. Standard SLA. Details at inferrex.com/legal/sla.
9.2 Enterprise and Sovereign. Dedicated SLAs per order form.
10. Intellectual Property
The Service, software, AI models, inference pipeline, connector library, and documentation are the intellectual property of Inferrex Ltd.
11. Limitation of Liability
11.1 To the maximum extent permitted by law, Inferrex shall not be liable for indirect, incidental, special, consequential, or punitive damages.
11.2 Total aggregate liability shall not exceed fees paid in the twelve months preceding the event.
11.3 Nothing excludes liability for death or personal injury, fraud, or any liability that cannot be excluded under English law.
12. Indemnification
You indemnify Inferrex from claims arising from: (a) use in violation of these Terms; (b) breach of applicable law; (c) data processed without lawful authority.
13. Term and Termination
13.1 Terms remain in effect for the duration of the Subscription.
13.2 Either party may terminate for material breach if uncured 30 days after written notice.
13.3 We may suspend access immediately for security risks or legal violations.
13.4 Upon termination: licence ceases. Sections 6, 10, 11, 12, and 15 survive.
14. Changes to These Terms
Material changes notified at least 30 days in advance. Continued use constitutes acceptance.
15. Governing Law
Governed by the laws of England and Wales. Exclusive jurisdiction of the courts of England and Wales.
